OVERVIEW

Welcome to SayCheese! The terms “we,” “us,” and “our” refer to SayCheese Corporation (“SayCheese”). SayCheese operates this store and website, including all related information, content, features, tools, products, and services (collectively, the “Services”) to provide you, the customer, with a curated shopping experience.

SayCheese is powered by Shopify, which enables us to provide the Services to you.

These Terms of Service (the “Terms”) together with any policies referenced herein describe your rights and responsibilities when you use the Services.

Please read these Terms carefully, as they include important information about your legal rights, including warranty disclaimers and limitations of liability.

By visiting, interacting with, or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Services.

SECTION 1 — ACCESS, ELIGIBILITY, AND ACCOUNT

By using the Services, you represent that you are at least the age of majority in your state/province/territory of residence. If you are under the age of majority, you may use the Services only with the involvement and consent of a parent or legal guardian.

To use the Services, including browsing or purchasing, you may be asked to provide certain information such as your email address, billing/payment details, and shipping information. You represent and warrant that all information you provide is true, current, complete, and that you have the legal right to provide it.

You are responsible for maintaining the security of your account credentials and for all activity under your account. You may not transfer, sell, assign, or license your account to another person.

SECTION 2 — OUR PRODUCTS; PRODUCT USE & SAFETY

We make reasonable efforts to display product information accurately. However, product colors/appearance may vary depending on your device and settings.

All product descriptions and availability are subject to change at any time without notice. We reserve the right to discontinue any product at any time and to limit quantities offered to any person, region, or jurisdiction.

Oral care / personal care notice

SayCheese products are personal care/oral care items. For safety and best results, you agree to:

  • Use products only as directed in the included instructions and on the product packaging;
  • Stop use and seek professional guidance if you experience irritation, discomfort, or adverse reactions;
  • Consult a dental professional if you have oral health concerns, dental work, or sensitivity.

No medical advice. Information on the Services is for general informational purposes and does not constitute medical, dental, or professional advice.

Results vary. Whitening outcomes can vary depending on the individual and staining type; we do not guarantee any specific shade result.

SECTION 3 — ORDERS; ACCEPTANCE; CANCELLATIONS

When you place an order, you are making an offer to purchase. We reserve the right to accept, decline, or limit any order at our discretion (including suspected fraud, resale activity, export activity, or inventory limitations).

Your order is not accepted until we confirm acceptance (for example, by sending an order confirmation and processing payment). We must receive and process payment before an order is accepted.

Please review your order carefully before submitting. After an order is accepted, we may be unable to accommodate cancellation requests, address changes, or order edits.

If we cancel or change an order, we will attempt to notify you using the contact information provided at checkout.

You represent and warrant that purchases are for your personal or household use and not for commercial resale or export unless explicitly authorized by us in writing.

SECTION 4 — PRICES; PROMOTIONS; BILLING

Prices, discounts, and promotions are subject to change without notice. The price charged is the price in effect at the time the order is placed, as shown in your order confirmation.

Unless otherwise stated, prices do not include taxes, shipping, handling, customs, duties, or import fees.

Promotions may be governed by separate terms; if there is a conflict, promotion terms control for that promotion.

You agree to provide current, complete, and accurate purchase and account information, and to promptly update it as needed.

You represent and warrant that:

  1. payment information you provide is true and complete,
  2. you are authorized to use the payment method, and
  3. charges incurred by you will be honored by your payment provider.

SECTION 5 — SHIPPING; DELIVERY; RISK OF LOSS

Delivery dates and transit times are estimates only and not guaranteed. We are not responsible for shipping delays caused by carriers, weather, address issues, or events outside our control.

Once we transfer products to the carrier, title and risk of loss pass to you, to the extent permitted by law.

SECTION 6 — SUBSCRIPTIONS (IF APPLICABLE)

If we offer subscription products or recurring shipments, those purchases are governed by our Subscription Policy, including billing frequency, renewals, cancellations, and any minimum terms disclosed at checkout.

SECTION 7 — SMS/MMS MARKETING PROGRAM TERMS

This section applies if you opt in to receive text messages (SMS/MMS) from SayCheese (the “SMS Program”). By participating, you agree to these SMS Program Terms in addition to the rest of these Terms and our Privacy Policy.

7.1 Consent to receive messages

By providing your mobile number and opting in (for example, through checkout, a pop-up, a form, or a keyword), you consent to receive recurring SMS/MMS messages from or on behalf of SayCheese, which may include:

  • promotions and offers,
  • cart reminders,
  • product updates,
  • order and shipping updates (if enabled),
  • customer support follow-ups.

Messages may be sent using an automatic telephone dialing system (autodialer) or other automated technology, where permitted by law.

Consent is not a condition of purchase. You can buy from us even if you do not opt in to marketing texts.

7.2 Message frequency; carrier rates

Message frequency varies. Message and data rates may apply. Your mobile carrier may charge you for messages/data, and those charges are your responsibility.

7.3 How to opt out

You can opt out at any time by replying STOP to any message. After you opt out, you may receive one final message confirming your opt-out.

7.4 Eligibility; accurate number; your responsibility

You represent that you are the account holder for the mobile number you provide (or you have the account holder’s authorization). You agree to keep your mobile number current. If you change numbers, you must opt out from the old number and opt in again with the new number.

The SMS Program is not intended for individuals under the age of majority without parental/guardian involvement and consent.

7.5 Carriers and delivery

Wireless carriers are not liable for delayed or undelivered messages. Delivery is subject to effective transmission from your carrier/network operator and device availability. Not all devices or carriers may support all message types.

7.6 Third-party providers

We may use third-party service providers to operate the SMS Program and send messages. By opting in, you acknowledge that your number and messaging data may be shared with service providers as needed to deliver messages and operate the Program, consistent with our Privacy Policy.

7.7 Changes, suspension, or termination of the SMS Program

We may modify, suspend, or discontinue the SMS Program (in whole or in part) at any time, including changing the short code/long code or the types of messages sent, to the extent permitted by law.

7.8 Disputes

Any disputes arising from or related to the SMS Program will be handled under the Governing Law; Venue section of these Terms, unless a different rule is required by applicable law.

SECTION 8 — EMAIL MARKETING PROGRAM TERMS

This section applies if you opt in to receive marketing emails from SayCheese (the “Email Program”). By participating, you agree to these Email Program Terms in addition to the rest of these Terms and our Privacy Policy.

8.1 Consent to receive emails

By providing your email address and opting in (for example, through checkout, an on-site form, account creation, a giveaway, a quiz, or a pop-up), you consent to receive recurring marketing emails from or on behalf of SayCheese, which may include:

  • promotions and offers,
  • product education and routine tips,
  • new product announcements,
  • brand updates and content,
  • reminders related to your shopping activity (where permitted by law).

Consent is not a condition of purchase. You can buy from us even if you do not opt in to marketing emails.

8.2 Transactional vs marketing emails

Even if you do not opt in to marketing emails (or you later unsubscribe), you may still receive transactional or service emails related to your purchases or account, such as:

  • order confirmations,
  • shipping and delivery updates,
  • returns/refund communications,
  • security or account-related notices,
  • customer support responses.

These are sent to provide the Services and are not marketing messages.

8.3 Email frequency

Email frequency varies. We aim to send relevant, helpful communications, but frequency may increase during launches, promotions, or seasonal campaigns.

8.4 Unsubscribe / opt-out

You can unsubscribe from marketing emails at any time by:

  • clicking the “unsubscribe” link in the footer of our emails, or
  • contacting us at hello@getsaycheese.com.

Unsubscribing applies to marketing messages. Transactional/service emails may still be sent as described above.

8.5 Accuracy of your email address

You represent that the email address you provide belongs to you (or that you have permission to use it) and that you will keep it current so we can deliver important transactional communications.

8.6 Third-party email service providers

We may use third-party email service providers to operate the Email Program and deliver emails. By opting in, you acknowledge that your email address and related engagement data (such as opens/clicks) may be processed by our service providers to send messages and improve performance, consistent with our Privacy Policy.

8.7 Changes, suspension, or termination

We may modify, suspend, or discontinue the Email Program at any time, to the extent permitted by law.

SECTION 9 — INTELLECTUAL PROPERTY

The Services and all content available through them (including trademarks, logos, text, images, graphics, videos, audio, product reviews, and design/layout) are owned by SayCheese or its licensors and are protected by applicable intellectual property laws.

These Terms permit you to use the Services for personal, non-commercial use only. You may not copy, reproduce, distribute, modify, create derivative works, publicly display, republish, download, store, or transmit any content without our prior written consent, except as expressly permitted by law.

“SayCheese” and related marks are trademarks of SayCheese. Shopify’s name and marks are trademarks of Shopify. All other marks are the property of their respective owners.

SECTION 10 — OPTIONAL TOOLS

We may provide access to third-party tools as part of the Services. We do not monitor or control these tools and provide them “as is” and “as available” without warranties. Your use of optional tools is at your own risk and discretion, and you should review the third party’s terms.

SECTION 11 — THIRD-PARTY LINKS

The Services may contain links to third-party websites or embedded third-party functionality. We are not responsible for third-party content, accuracy, policies, or practices. If you leave our Services to access third-party sites, you do so at your own risk.

SECTION 12 — RELATIONSHIP WITH SHOPIFY

SayCheese is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with SayCheese. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and SayCheese, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with SayCheese.

SECTION 13 — PRIVACY

Our collection and use of personal information is governed by our Privacy Policy:

Because the Services are hosted by Shopify, Shopify may collect and process personal information about your access to and use of the Services in order to provide and improve the Services. Information submitted may be processed in countries other than where you reside.

SECTION 14 — FEEDBACK; REVIEWS; USER CONTENT

If you submit reviews, ideas, suggestions, feedback, or other content (“Feedback”), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, and display such Feedback in any medium for any purpose, including commercial use.

You represent and warrant that:

  • You own or have the necessary rights to provide the Feedback;
  • Any incentives/compensation related to your Feedback have been properly disclosed where required; and
  • Your Feedback complies with these Terms and applicable law.

We may remove Feedback at our discretion if we believe it violates these Terms or is unlawful or inappropriate.

SECTION 15 — ERRORS; INACCURACIES; OMISSIONS

Occasionally, information on the Services may contain errors or omissions related to descriptions, pricing, promotions, shipping charges, transit times, or availability. We reserve the right to correct errors, update information, or cancel orders if any information is inaccurate at any time, including after you submit your order.

SECTION 16 — PROHIBITED USES

You may use the Services only for lawful purposes. You agree not to use the Services:

  • for any unlawful, fraudulent, or malicious purpose;
  • to violate any laws or regulations;
  • to infringe intellectual property rights;
  • to harass, abuse, harm, defame, or intimidate others;
  • to submit false or misleading information;
  • to spam, phish, scrape, crawl, or interfere with site security or functionality;
  • to transmit malware or harmful code; or
  • to reproduce, duplicate, sell, resell, or exploit any portion of the Services without our express written permission.

We may suspend or terminate access if we believe you violated these Terms.

We may terminate or restrict your access to the Services at any time without notice, in our sole discretion. You remain liable for all amounts due up to and including the date of termination.

Sections that by their nature should survive termination will survive, including Intellectual Property, Feedback, Disclaimers, Limitation of Liability, Indemnification, Severability, and Governing Law.

SECTION 18 — DISCLAIMER OF WARRANTIES

The Services and all products offered through the Services are provided “as is” and “as available” without any representations, warranties, or conditions of any kind, either express or implied, including implied warranties of merchantability, fitness for a particular purpose, durability, title, and non-infringement, to the fullest extent permitted by law.

We do not guarantee uninterrupted, timely, secure, or error-free access to the Services.

Some jurisdictions do not allow certain warranty disclaimers, so some disclaimers may not apply to you.

SECTION 19 — LIMITATION OF LIABILITY

To the fullest extent permitted by law, in no event shall SayCheese, our affiliates, partners, directors, officers, employees, agents, contractors, service providers, licensors, or Shopify and its affiliates be liable for any indirect, incidental, punitive, special, or consequential damages of any kind arising from or related to your use of the Services or any products purchased through the Services, including lost profits, lost revenue, lost savings, loss of data, or replacement costs, even if advised of the possibility.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

SECTION 20 — INDEMNIFICATION

You agree to indemnify, defend, and hold harmless SayCheese, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  1. your breach of these Terms,
  2. your violation of any law or third-party rights, or
  3. your use of the Services.

SECTION 21 — SEVERABILITY

If any provision of these Terms is found unlawful or unenforceable, that provision will be enforced to the fullest extent permitted by law, and the remaining provisions will remain in full force and effect.

SECTION 22 — WAIVER; ENTIRE AGREEMENT

Our failure to enforce any right or provision is not a waiver of that right or provision.

These Terms, together with policies posted on the Services, constitute the entire agreement between you and us and supersede prior agreements or communications.

SECTION 23 — ASSIGNMENT

You may not assign, transfer, or delegate these Terms or your rights/obligations without our prior written consent. We may assign or transfer these Terms without notice, as permitted by law.

SECTION 24 — GOVERNING LAW; VENUE

These Terms and any separate agreements whereby we provide Services shall be governed by and construed in accordance with the laws of the State of New York and applicable federal laws of the United States, without regard to conflict of law principles.

You and SayCheese consent to the exclusive jurisdiction and venue of the state and federal courts located in New York, including courts located in or serving Buffalo, New York, for any dispute arising out of or relating to these Terms or the Services, except where prohibited by law.

SECTION 25 — HEADINGS

Headings are for convenience only and do not affect interpretation.

SECTION 26 — CHANGES TO TERMS

We may update these Terms from time to time by posting a revised version on this page. It is your responsibility to review the Terms periodically. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
